Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your use of Dottie, including the website dottieagent.com, the app at app.dottieagent.com and the Dottie agent available inside third-party AI assistants (together, the "Service"). By creating an account or placing an order you accept these Terms.

2. What Dottie does

Dottie is an AI agent that helps you form a limited liability company (LLC) in the United States and keep it in good standing. Depending on what you order, this may include preparing and filing formation documents with the state, requesting an EIN from the IRS, acting as or providing a registered agent, filing annual reports and preparing tax forms.

We act only on the information you give us and only after you order and pay for a service.

3. What Dottie is not

Dottie is not a law firm or an accounting firm. Neither Dottie nor its AI agent provides legal, tax, financial or immigration advice, and no attorney-client or accountant-client relationship is created by using the Service.

Information shared by the agent is general and about our services. If you need advice about your specific situation, consult a licensed professional.

4. Tax filings

For tax services (for example, Form 5472 and the pro forma Form 1120), Dottie prefills the forms using the information you provide. You must review the forms carefully, confirm they are accurate and complete, and sign them.

You are the filer and remain solely responsible for the content of your tax returns. Dottie only submits documents that you have signed, exactly as signed.

5. The AI agent

The Service is delivered mainly through an AI agent. Prices, fees, deadlines and the status of your company come from our systems, not from the model, and are always shown to you before you pay.

AI can make mistakes. Before confirming an order or signing a document, check the details. When something requires a person, the agent opens a support ticket and our team answers in the same conversation.

6. Your responsibilities

You agree to provide true, accurate and complete information, including about every member and owner of the company, and to keep it up to date.

You will not use the Service for unlawful purposes, including money laundering, sanctions evasion, fraud or to hide the beneficial owners of a company. We may ask for identity verification and may refuse or cancel any order when required by law or by our compliance policies.

7. Prices, state fees and payment

Our service prices are published on dottieagent.com. State and government fees are set by each authority, may change and are added to your total. The exact total is shown before you pay.

Payments are processed by our payment provider. We do not store your full card details.

Government fees already paid to a state or agency cannot be refunded by Dottie.

8. Registered agent and renewals

When Dottie provides a registered agent, we will receive official notices and service of process for your company and make them available to you in the app.

The first year of registered agent is included with formation. From the second year, registered agent and annual report services are charged as shown on our pricing. We remind you before each renewal; if you do not renew, we may resign as registered agent as permitted by state law.

9. Timing and third parties

Processing times depend on state agencies, the IRS and other third parties outside our control. We do not guarantee approval of a company name, a filing or an EIN, nor specific processing times.

10. Limitation of liability

To the maximum extent permitted by law, Dottie is not liable for indirect, incidental or consequential damages, and our total liability for any claim related to the Service is limited to the amount you paid us for the specific service giving rise to the claim during the twelve months before the claim.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or close accounts that break these Terms or when required by law. Obligations already paid for will be handled as described in section 7.

12. Changes and contact

We may update these Terms. If a change is material, we will notify you in the app or by email before it takes effect.
